Swiss ParaGolf Association Statutes

§ 1 Name and Headquarters

  1. 1. Under the name "Swiss ParaGolf Association", an association exists within the meaning of Art. 60ff. of the Swiss Civil Code (ZGB) with headquarters in Boppelsen, Zurich.

  2. The association is politically and denominationally independent.

§ 2 Goals and Purpose

  1. The purpose of the association is to nurture and promote golf for impaired golfers.

  2. The association exclusively and directly pursues charitable purposes. Its tasks include:

  • Representing the interests of impaired golfers in Switzerland and abroad, and maintaining international relationships.

  • Promoting golf for the impaired as a means of rehabilitation and social integration and inclusion.

  • Organizing competitions of all kinds and participating in such events.

  • Promoting elite sports for impaired golfers with a particular focus on fostering young talent and training suitable instructors for impaired golf.

  • Nurturing golf and supporting members in all golf-related matters.

§ 3 Resources

  1. To pursue the association's purpose, the association has the following resources:

    • Membership fees

    • Membership fees are set annually by the general assembly.

    • Active members pay higher fees than passive members.

    • Honorary members and serving board members are exempt from fees.

    • Proceeds from own events

    • Subsidies

    • Proceeds from performance agreements

    • Donations and grants of all kinds

  2. Members do not receive shares of the surplus in their capacity as members.

  3. The association may not favor any person with expenditures that are foreign to the association's purpose or with disproportionately high remuneration.

  4. Resigned members have no claim to the association's assets.

  5. The fiscal year corresponds to the calendar year.

§ 4 Membership

  1. The association consists of:

    • Ordinary members

    • Family and youth members

    • Extraordinary members

  2. Any natural person who has reached the age of 18, wishes to actively promote the association's goals, and is a member of a Swiss Golf affiliated golf club can become an ordinary member of the association. Natural persons who are members of a recognized foreign golf club can also become members. Participation in official competitions for the impaired requires meeting the internationally defined "Definitions of impairments enabling participation in tournaments for Golf of the physically disabled" and providing appropriate proof.

  3. Family or youth members can be spouses or children of ordinary members. Youth under 18 can only become members if at least one parent is a member of the PGCS.

  4. Natural and legal persons who significantly and selflessly support the association in the sense of the association's goals can become extraordinary members.

  5. Membership applications must be submitted in writing to the board. By submitting the application, the existing bylaws are already acknowledged.

  6. The board decides on the admission to the association and confirms it in writing. The board can reject an admission if it appears necessary in the interest of the association. An appeal against the rejection is permissible within four weeks after the rejection notice, which the board will reconsider and decide definitively.

§ 5 Honorary Members

  1. Persons who have rendered outstanding services to impaired golf and the association can be proposed by the board and elected by the general assembly as honorary presidents with a seat and vote on the board.

§ 6 Membership Obligations

Members are obligated to:

  • Adhere to the association's bylaws.

  • Treat the association's facilities and owned sports equipment or other items with care.

  • Pay the association's fees, charges, etc. without being prompted (except honorary presidents and honorary members).

  • Respect and follow the association regulations decided by the board.

§ 7 Membership Fees

  1. Fees are annual. The annual fee is set by the general assembly.

  2. The annual fee is due and payable on the first day of the fiscal year.

§ 8 Termination of Membership

  1. Membership ends through:

    • Resignation

    • Removal

    • Exclusion

    • Death

  2. Resignation must be declared in writing to the association and is permissible with a four-week notice at the end of a fiscal year.

  3. Removal of a member occurs by board resolution if the member, despite two written reminders from the board, fails to meet their payment obligations within a set period of three months. Before removal, the member must be given the opportunity to be heard by the board.

  4. Exclusion of a member occurs if the member grossly violates the bylaws or the interests of the association, fails to fulfill imposed duties, or significantly damages the association's reputation and standing. The board decides on the exclusion. Before exclusion, the affected member must be given the opportunity to be heard.

  5. Legal recourse against exclusion or removal is excluded to the extent permitted by law.

  6. The obligation to pay outstanding fees or other commitments to the association remains unaffected by the termination of membership, regardless of the reason.

§ 9 Organs of the Association

  1. The organs of the association are:

    • The general assembly

    • The board

    • The honorary council

§ 10 General Assembly

  1. The general assembly is convened annually within the first eight months of the fiscal year via email. Additionally, a general assembly must be convened if the association's interest requires it or if one-fifth of the members request it in writing, stating reasons and purpose.

  2. The general assembly is convened in writing by the chairman or the deputy chairman at least two weeks before the meeting date. The agenda must be announced simultaneously with the invitation.

  3. A duly convened general assembly is always quorate.

  4. The method of voting is determined by the meeting chairman. If one-third of the members present request it, a written vote must be taken.

  5. Each member may represent up to two other members with written authorization.

  6. Resolutions of the general assembly and elections must be recorded in writing and signed by the meeting chairman and the secretary.

§ 11 Board

  1. The board consists of 3-7 persons:

    • The chairman (president)

    • The deputy chairman (vice president)

    • The treasurer

    • The secretary

    • Up to three additional members who can be appointed by the board based on specific tasks.

  2. The board is elected by the members for a term of four years. Board members remain in office until new elections occur.

  3. Only members who have reached the age of 18 are eligible for election. Multiple board positions can be held by one person.

  4. A member who has rendered exceptional services to the association and impaired golf can be proposed by the board and elected by the general assembly as an honorary president with a seat and vote on the board.

  5. In addition to representing the association, the board is responsible for conducting association business in accordance with the bylaws and resolutions of the general assembly.

  6. The board serves on an honorary basis.

§ 12 Honorary Council

  1. The honorary council seeks to mediate disputes among association members upon request.

  2. The honorary council consists of three ordinary members elected by the general assembly for a term of four years. Members of the honorary council must be at least 30 years old and have been members of the association for at least five years.

  3. Decisions of the honorary council are made by simple majority and are final. The chairman and, if applicable, the honorary chairman can attend meetings of the honorary council upon request but do not have voting rights.

§ 13 Auditors

  1. The general assembly elects two auditors or a legal entity to audit the bookkeeping and conduct at least one random check annually.

  2. The auditors report to the board for submission to the general assembly.

  3. The term of office is four years.

  4. Re-election is possible.

§ 14 Signing Authority

  1. The board regulates signing authority in pairs.

§ 15 Liability

  1. Only the association's assets are liable for the association's debts.

  2. Personal liability of members is excluded.

§ 16 Dissolution of the Association

  1. The association can be dissolved by a resolution passed by at least nine-tenths of the members present. The general assembly must be convened specifically for the purpose of dissolution, with at least two-thirds of the ordinary members present.

  2. Liquidation is carried out by the board members in office at the time of dissolution.

  3. In the event of dissolution or termination of the association or if its purpose ceases to exist, the association's assets are transferred to PluSport, with the stipulation that these funds are primarily used to promote golf for the impaired and thus directly and exclusively for the charitable purposes mentioned in § 2 paragraph 2 of these bylaws.
